This Data Room is operated by Hynes Lawyers and provides information relating to the business and activities of Polymetals Group Pty Ltd (Polymetals) to persons who have been specifically authorised by Polymetals (Authorised Users) to access this information.

Use of information

1. The Authorised User agrees to use the Data Room only on these terms and conditions.
2. The Authorised User agrees to take such actions as are necessary, in order for it to maintain the confidentiality of, and prevent any unauthorised use of, the information provided in the Data Room.  The Authorised User will immediately notify Hynes Lawyers in writing if it believes, or has reason to believe, that an unauthorised party has gained access to any information in the Data Room. 
3. The Authorised User agrees to indemnify and hold harmless Hynes Lawyers from and against any claim, proceeding, costs or losses resulting from, or in connection with, any misuse or unauthorised use of the information contained in the Data Room. 
4. The Authorised User expressly agrees and acknowledges that the information provided in the Data Room has been provided by Polymetals and does not constitute any representation or confirmation by Hynes Lawyers, of its currency, completeness, accuracy, or appropriate use in any way. 
5. The availability of the information provided in the Data Room is for the purpose of conducting due diligence investigations on Polymetals by the Authorised User only, and its availability and use under these terms and conditions does not in any way constitute a transfer of ownership or other passing of title in the information provided, or in the intellectual property in the information provided, to any party whatsoever.  It is acknowledged that at all times the information provided, and any intellectual property in the information provided, in this Data Room remains the property of Polymetals Group Pty Ltd.

Updates to information

From time to time the information provided in the Data Room shall be updated by Hynes Lawyers.  It is the responsibility of the Authorised User to periodically check this Data Room to ensure that they are viewing the most up-to-date version of the information.

Limitation of liability

1. Hynes Lawyers is not responsible for the conduct, whether online or offline, of any user of the Data Room.
2. The information provided in this Data Room has been provided to Hynes Lawyers by Polymetals and Hynes Lawyers, accordingly, cannot guarantee that:
   (i) the information is reliable, current, complete, accurate and can be relied on in full or in part;
   (ii) you will be able to access the Data Room at all times;
   (iii) your access to the Data Room will be uninterrupted or secure; or
   (iv) the website or server are free of viruses or bugs.  
3. In no event will Hynes Lawyers be liable to you or any third party, either directly or indirectly, for any loss or damage arsing from the use or inability to use this Data Room or any unauthorised access to, or alteration of, the content provided in this Data Room.

Other

1. At its sole election at any time, Hynes Lawyers may temporarily or permanently suspend the rights of any Authorised User to access this Data Room or any part thereof.
2. These terms and conditions shall be governed by and construed in accordance with the law in Queensland, Australia.
3. Authorised Users may not assign this agreement to any other natural or legal person.
4. By proceeding past this point into the Data Room you accept the above terms and conditions of access and confirm that you are an 'Authorised Person'.
